This End User Licence Agreement ("Agreement") is a legal agreement between you (an individual or a single entity, "you") and Doug Hammond, trading as lon.dev, a sole trader established in the United Kingdom ("lon.dev", "we", "us"), for the software product Veska Console, including the console application, the virtual ASIO driver, the plugin scanner, associated media, and documentation (collectively, the "Software").
BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
The Software is licensed, not sold.
"Licence Key" means the unique key issued to you on purchase. "Activation" means binding an installation of the Software to a device and receiving a signed licence lease that authorises use. "Seat" means one authorised activation. The number of Seats is determined by the edition you purchased (see Section 4). "Edition" means the tier you purchased (e.g. Standard or Pro), or the time-limited trial described in Section 5. "Merchant of Record" or "MoR" means the third-party reseller (currently Lemon Squeezy) that is the seller of record for your purchase and handles payment, invoicing, and applicable taxes.
Subject to your compliance with this Agreement and, where applicable, payment of the licence fee, lon.dev grants you a non-exclusive, non-transferable, revocable licence to install and use the Software for the Edition and number of Seats you purchased, for the major version for which the licence was issued. The licence is perpetual for that major version, meaning it does not expire on a subscription basis, subject to the activation and validation mechanism described in Section 6 and to termination under Section 12.
The Software is protected by copyright and other intellectual property laws and treaties. lon.dev and its licensors own all title, copyright, and other intellectual property rights in the Software. This Agreement grants you no rights to trademarks or service marks of lon.dev. All rights not expressly granted are reserved.
The features, capacities, and the number of Seats available to you depend on the Edition you purchased. Entitlements are delivered to the Software as part of the signed licence lease and are enforced at runtime. Upgrading between Editions may require payment of the applicable difference.
If you use a trial of the Software, it is licensed for evaluation only, for the stated trial period (currently 14 days) and with reduced entitlements. The trial is provided "as is" and is not licensed for production use. On expiry the Software ceases to provide licensed functionality until a valid licence is activated.
The Software uses an online activation and validation mechanism to enforce this Agreement. On Activation, the Software transmits a one-way machine identifier (computed on your device; the underlying hardware value is not transmitted), your Licence Key, and the Software version to our licensing service, which returns a cryptographically signed licence lease valid for a limited period. The Software verifies and caches the lease and operates offline until it expires, then refreshes automatically the next time it is online. For a machine with no internet access, an offline activation option issues a longer-lived lease (currently up to 12 months) that you obtain via our website and import into the Software. Our licensing service also records the IP address and time of activation and validation requests. You consent to this collection and processing, which is described further in our Privacy Policy. We may refuse, suspend, or revoke a licence lease where a licence is invalid, exceeds its Seats, has been refunded or charged back, or is being used in breach of this Agreement.
You may not, except to the extent expressly permitted by this Agreement or by applicable law that cannot be excluded by contract:
(a) copy, distribute, sell, rent, lease, sublicense, lend, or otherwise make the Software available to any third party; (b) reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code; (c) circumvent, disable, or interfere with the licensing, activation, or copy-protection mechanisms, or use the Software beyond your purchased Edition or Seats; (d) remove, alter, or obscure any proprietary notices; (e) use the Software to develop a competing product, or in any unlawful manner.
The Software includes third-party components that are licensed under their own terms, including the Steinberg ASIO and VST technologies and the JUCE framework. ASIO is a trademark of Steinberg Media Technologies GmbH, registered in Europe and other countries; VST is a trademark of Steinberg Media Technologies GmbH. Attribution and applicable licence notices are provided in the accompanying THIRD_PARTY_NOTICES file, which is incorporated by reference. Your use of those components is subject to their respective licences.
lon.dev may, but is not obliged to, provide updates, bug fixes, or support, and does not commit to any particular update or release schedule. Any updates lon.dev does release for the major version you licensed are included at no additional charge, and may be subject to this Agreement or to additional terms. A future major version may require a new or upgrade licence.
Your purchase is processed by the Merchant of Record. lon.dev's processing of personal data in connection with activation, validation, and support is described in the Privacy Policy at https://doug.lon.dev/veska/privacy/. By using the Software you acknowledge that Privacy Policy.
Nothing in this Agreement affects your statutory rights as a consumer that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015 in the United Kingdom. Where you purchase as a consumer, your statutory right to cancel a purchase of digital content may be lost once download or activation begins with your consent; the Merchant of Record's checkout terms and refund policy govern the purchase transaction.
This Agreement is effective until terminated. It terminates automatically if you breach it. On termination you must stop using and delete all copies of the Software. Sections that by their nature should survive (including 3, 7, 8, 13, 14, and 15) survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. lon.dev DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING IN THIS SECTION LIMITS ANY STATUTORY RIGHTS YOU HAVE AS A CONSUMER.
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
SUBJECT TO THE ABOVE, TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) lon.dev SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR LOSS OR CORRUPTION OF AUDIO PROJECTS OR RECORDINGS, ARISING OUT OF OR RELATED TO THE SOFTWARE; AND (b) lon.dev's TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENCE FOR THE MAJOR VERSION OF THE SOFTWARE YOU WERE USING WHEN THE EVENT GIVING RISE TO THE LIABILITY OCCURRED.
You are responsible for maintaining backups of your data and projects.
(a) Governing law. This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may benefit from the mandatory laws and courts of your country of residence. (b) Export and sanctions. You may not use or export the Software in violation of applicable export-control or sanctions laws. (c) Assignment. You may not assign this Agreement. lon.dev may assign it in connection with a transfer of its business. (d) Severability. If any provision is held unenforceable, the remaining provisions remain in effect. (e) Entire agreement. This Agreement is the entire agreement between you and lon.dev regarding the Software and supersedes prior communications.
